ARTICLE I - DURATION AND RENEWAL


1. This Agreement will commence on the 23rd day of December, 2005 and terminate three years thereafter, on the 22nd day of December, 2008 and will inure to the benefit of and be binding upon the successors and assigns of the Publisher or the Guild.

2. Not less than one hundred twenty (120) days immediately prior to December 22, 2008, the termination date of this Agreement, the Publisher or the Guild may initiate negotiations for a new Agreement. In the event of such notice, negotiations will be entered into within the one hundred twenty (120) day period immediately prior to the expiration of the contract unless extended by mutual agreement.

3. Unless authority of law or regulation or other valid governmental order reasonably requires a change in the terms and conditions set forth in this contract on matters governed by this contract, the terms and conditions of this contract, including its "arbitration" provisions (Article II, Sections 4 and 5), and its "no strike-no lockout" provisions (Article II, Section 9), and its Guild Shop provisions (Article XXXII), and its "Dues Deduction" provisions (Article XXXIII), shall remain in effect until negotiations on a new contract result in an agreement or are lawfully terminated as a result of a good faith impasse. In the event either party believes, in good faith, that an impasse has been reached, it shall so notify the other in writing and thereafter refrain from terminating the terms and conditions of this contract and/or engaging in a strike or lockout for a period of thirty (30) days following service of the notice. In the event an impasse, once

reached, is broken prior to the expiration of the 30-day notice, the terms and conditions of this contract shall continue in effect, including the arbitration, no strike-no lockout, Guild shop and dues deduction provisions. If a subsequent impasse is thereafter reached, an additional thirty (30) day notice shall be required before terminating existing terms and conditions or engaging in a strike or lockout and so on.
